Seller Terms
The proposed contract between Seekersplace and each professional seller using the marketplace.

1. Status of this draft
These Seller Terms are a pre-launch draft. They are not yet in force and must not be used for live seller onboarding until the operator details, governing law, fees and notice periods have been completed and the document has been reviewed by qualified counsel.
2. Eligibility and seller account
Seekersplace is intended for professional sellers acting in the course of business. The seller must be legally capable of entering into this agreement and must provide complete, accurate and current information about its business and authorised representative.
An application may be reviewed, rejected or placed into manual review. Approval creates access to seller tools but does not by itself permit public offers or new orders.
3. Verification and trader traceability
Before a seller may offer products to buyers, Seekersplace requires both a completed Stripe onboarding status for payouts and a separate trade-register verification. Seekersplace may request evidence, compare submitted details with official or reliable sources, and repeat checks when information changes.
- Legal name, registered address, contact details, registration country and registration number.
- Identity and authority of the representative where required.
- Payment-account and tax information required by Stripe, tax rules or applicable law.
- A self-certification that products and trading activity comply with applicable law.
4. Stripe and payouts
Stripe collects and verifies the seller’s identity, business and bank-account information through its own hosted onboarding. The seller therefore interacts with Stripe even though Seekersplace calculates seller balances and initiates payout batches.
The current operating model uses administrator-started monthly payout batches. A specific payment date is not guaranteed. Amounts may be reduced, delayed or held for refunds, chargebacks, disputes, legal requirements, fraud or risk review. Final fee rates, reserve rules and payout timing must be inserted before launch.
5. Listings, prices and fulfilment
The seller is responsible for truthful product information, stock, price, taxes, delivery promises and fulfilment. A listing must identify the actual product being sold and must not manipulate catalogue matching, reviews, rankings or comparison features.
Where more than one seller offers the same catalogue product, buyers may compare those offers. The principal ranking parameters must be disclosed to sellers and buyers. The current intended parameters include price, availability, delivery speed, relevance and seller performance; their final weighting and any paid influence must be documented before launch.
6. Product safety and compliance
The seller may offer only lawful and safe products. It must hold and provide required manufacturer, importer, EU responsible-person, traceability, warning, conformity and recall information. The seller must promptly stop affected offers and cooperate with notices, withdrawals and recalls.
The Prohibited Products Policy forms part of these terms. Seekersplace may remove or restrict a product when it reasonably suspects illegality, danger, infringement or a breach of marketplace rules.
7. Consumer rights, returns and complaints
The seller remains responsible for mandatory consumer information, legal guarantees, withdrawal rights, refunds and product conformity where applicable. Seekersplace may provide common checkout, return and dispute tooling without reducing a buyer’s mandatory rights.
Sellers may challenge marketplace decisions using the Complaints & Appeals Procedure. Seekersplace will provide reasons for restrictions or suspension where required, subject to lawful exceptions.
8. Taxes and DAC7
The seller is responsible for its own tax obligations. Seekersplace may collect, verify, retain and report seller identity, tax, payment and transaction information where required by DAC7 or other laws. A seller must respond to reasonable information requests; legally required withholding or suspension may apply if it does not.
9. Intellectual property and platform content
The seller warrants that its content and products do not infringe third-party rights. It grants Seekersplace a non-exclusive licence to host, reproduce, adapt and display submitted content only as needed to operate, promote and improve the marketplace.
10. Restriction, suspension and termination
Seekersplace may restrict products, payouts or account access for legal, safety, integrity, payment, fraud or contractual reasons. Urgent action may be taken immediately where necessary. Otherwise, applicable statement-of-reasons and notice requirements will be followed. Existing orders, refunds, records and lawful payment holds may continue after termination.
11. Changes and P2B disclosures
Material changes will be notified on a durable medium with the legally required notice period. The final terms must state at least the ranking parameters, data access, any differentiated treatment, ancillary services, termination rules, complaint system and mediators required by the EU Platform-to-Business Regulation, including any lawful small-enterprise exemptions relied upon.
12. Operator, liability and governing law
The final version must identify the Seekersplace legal entity, registered address, registration number, contact details, applicable liability framework, governing law and competent courts. Those items are deliberately not guessed in this draft.
